3. Client Responsibilities
3.1 The Client is responsible for providing accurate and complete information to Yellowaddz regarding their business, objectives, and requirements for the Services.
3.2 The Client must promptly respond to requests for information, feedback, and approvals necessary for the provision of the Services.
3.3 The Client is responsible for the content, images, and materials provided to Yellowaddz for use in website development or digital marketing campaigns. The Client must ensure they have the necessary rights and permissions for all materials provided.

4. Payment Terms
4.1 The Client agrees to pay Yellowaddz in accordance with the payment terms outlined in the project proposal or invoice. Payment can be made through the designated payment methods specified by Yellowaddz.
4.2 In the event of late payment, Yellowaddz reserves the right to suspend or terminate the provision of Services until payment is received in full.

5. Project Timelines
5.1 Project timelines are estimates and are subject to change based on various factors, including the complexity of the project and the Client's responsiveness in providing necessary information and approvals.
6. Intellectual Property
6.1 Upon full payment, Yellowaddz grants the Client a non-exclusive, non-transferable license to use the deliverables (e.g., website, digital marketing assets) created during the project for the Client's business purposes.
7. Confidentiality
7.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

8. Termination
8.1 Either party may terminate the agreement with written notice if the other party breaches these Terms. Upon termination, the Client is responsible for all outstanding payments.

9. Limitation of Liability
9.1 Yellowaddz's liability for any damages or losses arising from the provision of Services shall be limited to the total fees paid by the Client.

10. Governing Law and Jurisdiction
10.1 These Terms are governed by Indian law, and any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in Aurangabad, India.

11. Amendments
11.1 Yellowaddz reserves the right to amend these Terms with prior notice to the Client. Continued use of the Services after receiving notice of changes constitutes acceptance of the amended Terms.
